Bank of America's Galapagos NV stake swings above and below 5% in days

Bank of America's stake in Galapagos NV fluctuated significantly in early February 2026. Over four days, its voting rights and financial instruments crossed key regulatory thresholds, triggering mandatory transparency notifications to the Belgian biotech firm.

The activity began on February 2, when Bank of America first exceeded the 5% mark in Galapagos' voting rights. By the next day, its subsidiary BofA Securities, Inc. also surpassed the same threshold.

On February 4, BofA Securities, Inc. reduced its position, dropping below 5%. The following day, Bank of America reported holding 132,087 voting rights and 3,323,941 equivalent financial instruments—totaling 5.04% of Galapagos' shares. Hours later, however, its exposure via financial instruments fell back under the 5% threshold.

The transactions were documented in filings sent to Galapagos NV. No further details about the reasons behind the changes were disclosed.

The rapid adjustments left Bank of America's combined voting rights and financial instruments just above 5% before dipping again. Galapagos NV confirmed receipt of the required notifications. The filings reflect only the mechanical movements in ownership, without explanation for the strategy behind them.
